Terms of Service

These Terms of Service ("Terms") govern your access to and use of the KeyFlow website at keyflow.homes and the KeyFlow application at app.keyflow.homes (together, the "Service"), provided by Interactive MM, LLC ("KeyFlow," "we," "us"). By using the Service you agree to these Terms.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

2. Description of Service

KeyFlow is a real estate transaction management platform for licensed real estate professionals to manage transactions, communicate with clients, and organize workflows. Access to the application at app.keyflow.homes requires a valid Google account and is subject to availability.

3. Your account

Access to the application is provided through Google OAuth; you must maintain a valid Google account to use the Service.
You are responsible for activity that occurs under your account.
You agree to provide accurate information and to keep your credentials secure.
You will notify us promptly of any unauthorized access.

4. Your content & your data

You retain ownership of all content you submit to the Service, including transactions, contacts, financial entries, and documents ("Your Content"). You grant KeyFlow a limited license to host, process, and display Your Content solely to operate the Service for you.

5. Acceptable use

You agree not to:

Use the Service to violate any law or regulation, including real estate licensing rules.
Send spam, deceptive, or unsolicited messages through the Service.
Upload content that infringes another party's rights.
Reverse-engineer, attempt to bypass security, or interfere with the Service.

6. SMS & messaging

If you opt in to SMS notifications, you consent to receive transactional account messages from KeyFlow. Message frequency varies by deal activity. Message and data rates may apply. Reply STOP to opt out at any time and HELP for help. KeyFlow does not sell, rent, or share mobile phone numbers or SMS opt-in data with any third parties or affiliates for marketing, promotional, or other purposes. 7. Email & the AI Email Generator

The Service may use AI to generate draft email content based on your transaction data. Drafts are not sent automatically; you review and decide whether to send. You remain solely responsible for any communication you send via the Service.

8. Beta features

The Service is currently in private beta. Features may change, be added, or be removed. Beta access is offered free of charge but may be revoked or transitioned to a paid plan with notice.

9. Subscriptions & payments

When paid plans are introduced, billing terms (including price, billing cadence, taxes, and cancellation) will be presented at the point of purchase and incorporated into these Terms. Fees are non-refundable except where required by law.

10. Intellectual property

The Service — including its software, design, branding, and all content not provided by users — is the exclusive property of Interactive MM, LLC and is protected by copyright, trademark, and other applicable intellectual property laws. Nothing in these Terms transfers ownership rights to you, except the limited license to use the Service expressly granted above.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or for other lawful reasons. On termination, you can export Your Content for a reasonable period, after which we may delete it.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. KEYFLOW IS NOT A LAW FIRM, CPA, OR LICENSED BROKERAGE. NOTHING IN THE SERVICE CONSTITUTES LEGAL, TAX, OR REAL ESTATE ADVICE.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KEYFLOW WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Interactive MM, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, Your Content, or your violation of these Terms.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance.

16. Governing law

These Terms are governed by the laws of the State of Ohio, without regard to its conflict of law principles.
